YOU MUST AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT TO BECOME A SUBSCRIBER, WHICH IN TURN PERMITS YOU TO ACCESS THE FREE-OF-CHARGE ELEMENT OF THE SOA STRATEGY PLANNING TOOL DEVELOPED BY MACEHITER WARD-DUTTON AND JEMM RESEARCH (THE "PRODUCT") ON THE WWW.ITSTRATEGYPLANS.COM WEB SITE. BY COMPLETING THE SUBSCRIPTION PROCESS, YOU AGREE TO THE TERMS OF THIS AGREEMENT, JUST AS IF YOU HAD SIGNED THIS AGREEMENT. IF YOU DO NOT WISH TO BE BOUND BY THIS AGREEMENT, PLEASE DO NOT COMPLETE THE SUBSCRIPTION PROCESS.

1. Changed Terms.
   Macehiter Ward-Dutton Limited (MWD) and JEMM Research (JEMM) may change or discontinue any aspect of the Product at any time, including, its content or features. MWD and JEMM reserve the right to change the terms and conditions applicable to use of the Product. Such changes shall be effective immediately upon notice, which shall be placed on the www.itstrategyplans.com website. Use of the Product after notice shall be deemed to be acceptance by the Subscriber of such changes.
2. Term.
   MWD and JEMM may terminate Subscriber's access at any time for any reason. The provisions regarding Disclaimer of Warranty, Accuracy of Information, Indemnification, and Third Party Rights shall survive.
3. Copyright and License of Product.
   The Product is the property of MWD and JEMM and is protected by international and U.S. copyright law and conventions. Subscriber acknowledges that access to the Product is limited to the License terms set forth herein and any expansion must be in writing. The granting of the License to access and use the Product is conditioned on Subscriber's agreement to this license.
4. Disclaimer of Warranties.
   MWD and JEMM do not make any warranties, express or implied, including, without limitation, those of merchantability and fitness for a particular purpose, with respect to the Product. Although MWD and JEMM have taken reasonable steps to screen the Product for infection by viruses, worms, Trojan horses or other code manifesting contaminating or destructive properties before making the Product available, MWD and JEMM cannot guarantee that the Product will be free of infection.
5. Accuracy of Information.
   The information contained in the Product has been obtained from sources believed to be reliable. MWD and JEMM disclaim all warranties as to the accuracy, completeness or adequacy of such information. Subscriber assumes sole responsibility for the use of the Product to achieve its intended results. The opinions expressed in the Product are subject to change without notice.
6. Limitation of Liability.
   In no event will MWD or JEMM be liable for:(1) damages of any kind, including without limitation, direct, incidental or consequential damages (including, but not limited to, damages for lost profits, business interruption and loss of programs or information) arising out of the use of or inability to use the Product, or any information provided in the Product; (2) any claim attributable to errors, omissions or other inaccuracies in the Product or interpretations thereof.
7. Links.
   The www.itstrategyplans.com website may contain links to other websites, which are provided as resources for the convenience of users. Because MWD and JEMM may not be responsible for maintaining these sites, please direct your concerns about any linked site to that site's administrator.
8. Indemnification.
   Subscriber agrees to indemnify, defend and hold harmless MWD and JEMM, their affiliates, licensors, and their respective officers, directors, employees and agents from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, arising out of the use of the Product by Subscriber or Subscriber's account.
9. Third Party Rights.
   The provisions regarding Disclaimer of Warranty, Limitation of Liability and Indemnification are for the benefit of MWD and JEMM, and its licensors, employees and agents. Each shall have the right to assert and enforce those provisions against a Subscriber.
10. General Provisions.
    Any provision in any memorandum received by MWD or JEMM in connection with the Product which is inconsistent with, or adds to, the provisions of this Agreement is void. Neither the parties' course of conduct or trade practice will modify the terms of this Agreement. If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, all other terms and conditions shall remain in full force and effect.
11. Governing Law.
    This Agreement and the resolution of any dispute arising hereunder shall all be governed and construed in accordance with the laws of England and Wales, without regard to its conflicts of law principles. Subscriber consents to the jurisdiction of the courts of England and Wales.
12. Privacy Statement.
    A customer's right to privacy is of paramount importance to MWD and JEMM. When you register to use the Product at www.itstrategyplans.com, MWD and JEMM will ask you to provide your name, organization, email address, and other information. We use that information to personalise your use of the Product and to process orders. This information will not be shared with any third party. Please see our privacy policy for more details.
13. Refunds.
    If you purchase premium access to the SOA strategy planning tool and are unsatisfied in any way with the product you receive, you are entitled to a full refund. If you are unhappy and want a refund, email sales@mwdadvisors.com within seven (7) days of your purchase and we will process a full refund to your card or PayPal account.
